These Terms govern your access to and use of NONPAREY's services, including services involving the collection, processing, extraction, and analysis of biological samples, including DNA, and the provision of genetic, wellness, and related information (collectively, the "Services").

By accessing, purchasing, registering for, or using the Services, you acknowledge that you have read, understood, and agreed to these Terms.

Your use of certain Services may also be subject to additional terms, consents, policies, or instructions provided by NONPAREY, including our Privacy Policy and, where applicable, our Research Consent for Research. If there is any conflict between these Terms and terms specifically applicable to a particular Service, the terms specifically applicable to that Service will prevail to the extent of the conflict.

NONPAREY provides services involving the collection, processing, extraction, and analysis of biological samples, including DNA, together with information provided by you, including self-reported information. The Services may include genetic testing, analysis, reports, recommendations, and other information based on your genetic information, lifestyle information, and other information provided by you. The Services may be provided with the assistance of NONPAREY's affiliates, contractors, laboratories, technology providers, and other service providers (collectively, "Service Providers"). The Services are based on the current state of biomedical research, scientific knowledge, technology, and methodologies used by NONPAREY or its Service Providers at the relevant time.

The Services may change from time to time. NONPAREY may update, modify, suspend, or discontinue any part of the Services, including any report, analysis, feature, technology, methodology, or content, with or without prior notice where reasonably necessary, including due to changes in scientific knowledge, technology, regulatory requirements, laboratory capabilities, or the availability of third-party services.

NONPAREY does not guarantee the effectiveness or suitability of any specific recommendation, course of action, procedure, opinion, or other information provided through the Services. Any recommendations or information provided by NONPAREY are based on the information available to us and the scientific research and methodologies applicable at the relevant time. Such information is intended for informational, wellness, and educational purposes only and should be considered together with other relevant information and, where appropriate, discussed with your physician or other qualified healthcare professional.

Due to the limited amount of information that can reasonably be obtained about an individual, the inherent limitations of genetic testing and analysis, and the evolving nature of scientific research and technology, you acknowledge that your reliance on information provided by NONPAREY, its employees, contractors, Service Providers, affiliates, websites, and other partners is at your own discretion and risk.

NONPAREY may introduce additional Services, technologies, features, analyses, reports, or other offerings from time to time. Certain additional Services may be subject to additional fees, which will be disclosed to you before you incur such fees.

The Services are provided solely for informational, wellness, and educational purposes. The Services are not intended to diagnose, treat, cure, or prevent any disease, illness, or medical condition and do not constitute medical advice, diagnosis, or treatment.

NONPAREY does not provide medical treatment or medical advice. The Services are not a substitute for clinical evaluation, diagnostic testing, or professional medical advice. You should consult a qualified healthcare professional before making any medical, health, dietary, medication, or treatment decisions.

Genetic information may identify associations, tendencies, or predispositions relating to certain traits, characteristics, or health-related factors. Such information does not, by itself, establish the presence or absence of any disease, illness, or medical condition.

NONPAREY does not guarantee that the Services will identify every genetic variant, trait, characteristic, health-related factor, or condition that may be relevant to you.

You represent and warrant that all information you provide to NONPAREY is accurate, complete, and current to the best of your knowledge.

You represent and warrant that any biological sample you provide belongs to you, unless you are legally authorized to provide the sample on behalf of another person.

You represent and warrant that you have reached the age of legal capacity applicable in the jurisdiction in which you reside, or that you have obtained all legally required authorization and consent to use the Services.

If you provide a biological sample or information on behalf of another person, you represent and warrant that you are legally authorized to do so and have obtained all necessary consent and authority required under applicable law.

You agree not to use the Services for insurance underwriting, forensic purposes, employment screening, unlawful purposes, or any other purpose prohibited by applicable law or by NONPAREY.

You authorize NONPAREY, its affiliates, contractors, laboratories, Service Providers, and other authorized partners to collect, process, analyze, store, transfer, and disclose your biological sample, genetic information, analysis results, and other information you provide to the extent reasonably necessary to provide, operate, maintain, improve, or support the Services, or as otherwise permitted by our Privacy Policy, your applicable consents, or applicable law.

You acknowledge and authorize NONPAREY to provide your analysis results and other information to you and, where applicable, to NONPAREY's affiliates, contractors, laboratories, Service Providers, and other authorized partners for the purposes described in these Terms, our Privacy Policy, and any applicable consent.

You acknowledge that your biological samples, genetic information, analysis results, and other information may be transferred to, stored in, or processed in countries outside the country in which you reside, subject to applicable law and our Privacy Policy.

You acknowledge that genetic information is personal and potentially sensitive information. You are responsible for exercising appropriate caution when choosing to disclose your genetic information, reports, or other information obtained through the Services to third parties.

Your personal data, genetic information, and other information will be collected, used, disclosed, stored, and otherwise processed in accordance with our Privacy Policy and applicable data protection laws.

You acknowledge and agree that, to the fullest extent permitted by applicable law, you do not acquire any ownership, intellectual property rights, royalty rights, compensation rights, or other proprietary or financial interest in any research findings, discoveries, inventions, products, services, technologies, methodologies, or other developments arising from or relating to your biological sample, genetic information, or other information, including any developments resulting from research to which you have separately consented. You will not be entitled to any compensation, royalty, payment, ownership interest, or other benefit arising from or relating to such research or developments.

Unless otherwise expressly stated in writing, you do not acquire any ownership or intellectual property rights in NONPAREY's methodologies, technologies, algorithms, databases, reports, software, content, trademarks, research findings, aggregated or de-identified data, or other intellectual property by using the Services or providing a biological sample or information.

Where you separately consent to participate in research, the use of your biological sample, genetic information, and other information for such research will be governed by the applicable Research Consent for Research and any other applicable research documentation.

You acknowledge that information you choose to share with third parties may be used by those third parties in ways that may not be in your interests. You are responsible for exercising appropriate caution before sharing your genetic information, reports, or other information obtained through the Services.

You agree that you have the legal authority, under the laws of the jurisdiction in which you reside, to make the representations and provide the authorizations contained in these Terms. If you breach any of these representations or materially breach these Terms, NONPAREY may suspend or terminate your account and refuse future use of the Services, subject to applicable law.

Results obtained through the Services may not be complete, conclusive, or suitable for every individual or purpose.

Certain biological samples may fail quality-control requirements, may be unsuitable for processing, or may otherwise fail to produce results. NONPAREY may request that you provide a replacement sample where reasonably necessary.

Genetic testing and analysis are subject to technological, scientific, biological, and methodological limitations. Results may be affected by the quality of the biological sample, information provided by you, testing methodologies, available scientific knowledge, laboratory processes, and other factors.

Scientific research and genetic testing methodologies continue to evolve. Accordingly, the interpretation of genetic information may change as scientific knowledge, technology, and methodologies develop.

All intellectual property rights in and relating to the Services, including software, technology, methodologies, algorithms, databases, reports, designs, content, trademarks, and other materials, are owned by or licensed to NONPAREY and are protected by applicable intellectual property laws.

Except as expressly permitted by NONPAREY in writing, you must not distribute, publish, duplicate, reproduce, modify, create derivative works from, sell, license, commercially exploit, or otherwise use any part of the Services or NONPAREY's intellectual property for commercial purposes.

You may use reports and other information provided to you through the Services for your own personal, non-commercial purposes.

You agree not to misuse the Services, access systems through unauthorized means, copy or resell any part of the Services, interfere with or disrupt our systems, or use the Services in violation of applicable law.

You agree to provide accurate and current registration information about yourself as requested by NONPAREY.

You agree to maintain and update your registration information to keep it accurate and current.

Where you create or maintain an account with NONPAREY, you are responsible for maintaining the confidentiality of your password and account credentials and for activities carried out through your account, except to the extent caused by NONPAREY's breach of its obligations.

You must promptly notify NONPAREY if you become aware of any unauthorized access to or use of your account.

You are responsible for the consequences of any material violation of your obligations under these Terms, including any loss or damage that NONPAREY reasonably incurs as a direct result of such violation. NONPAREY may suspend or terminate your account and refuse future use of the Services where permitted under these Terms and applicable law.

If you provide your genetic, health-related, self-reported, or other information obtained through the Services to a third party, you are responsible for that disclosure and its consequences, subject to applicable law.

To the fullest extent permitted by applicable law, you agree to indemnify and hold harmless NONPAREY, its affiliates, officers, directors, employees, contractors, Service Providers, and agents from reasonable claims, liabilities, losses, damages, costs, and expenses arising directly from:

• Your material breach of these Terms;
• Your fraudulent, unlawful, or willfully wrongful use of the Services;
• Your unauthorized use of another person's biological sample or information;
• Your violation of the rights of any third party in connection with your use of the Services; or
• Your breach of any representation or authorization made under these Terms.

This indemnity does not apply to the extent that a claim, liability, loss, damage, cost, or expense results from NONPAREY's negligence, willful misconduct, or breach of its obligations, to the extent that such liability cannot lawfully be excluded or indemnified against.

You may stop using the Services at any time. If you wish to close your account, you may contact NONPAREY at contact@nonparey.com.

NONPAREY may suspend or terminate your access to the Services, revoke your account or password, or refuse future use of the Services if:

• You materially breach these Terms;
• You violate applicable law or use the Services for an unlawful, fraudulent, or unauthorized purpose;
• NONPAREY reasonably believes that you have provided an unauthorized or improperly obtained biological sample or information;
• NONPAREY is required to do so by applicable law, regulation, court order, or governmental authority;
• A laboratory, Service Provider, or other partner required to provide the Services terminates its relationship with NONPAREY or stops providing the relevant services;
• NONPAREY no longer plans to provide the Services in your country or jurisdiction; or
• NONPAREY determines that continued provision of the relevant Services is no longer commercially or operationally viable.

NONPAREY may also suspend or terminate your use of the Services where it reasonably suspects fraud, illegal activity, misuse of the Services, unauthorized access, or other conduct that may adversely affect NONPAREY, its users, its Service Providers, or the integrity or security of the Services.

Where reasonably practicable, NONPAREY may provide notice before suspending or terminating your access. However, NONPAREY may suspend or terminate access without prior notice where necessary to protect NONPAREY, its users, its Service Providers, or the Services, or where required by law.

Termination or suspension of your account or access to the Services does not affect any rights or obligations that accrued before termination.

Any provisions of these Terms that by their nature are intended to survive termination will continue to apply following termination.

You may request deletion of your account data or genetic information, or destruction of your DNA sample, by contacting NONPAREY in writing at contact@nonparey.com.

NONPAREY will process requests for deletion or destruction in accordance with applicable law, our Privacy Policy, and any applicable consent you have provided.

Where you request destruction of your DNA sample, NONPAREY will take reasonable steps to arrange for destruction of the sample within 90 calendar days after confirming your request, subject to applicable law and any legitimate legal, regulatory, quality-control, or operational retention requirements.

Where you request deletion of your genetic information, NONPAREY will take reasonable steps to delete or anonymize the relevant information within 90 calendar days after confirming your request, subject to applicable law and any legitimate retention requirements.

If you have separately consented to participate in research, information or samples that have already been incorporated into ongoing or completed research may not be capable of being withdrawn or removed from research results. Any applicable rights relating to withdrawal from research will be governed by the applicable Research Consent for Research.

Information that has been aggregated or anonymized such that it can no longer reasonably be associated with you may not be capable of being identified or deleted.

Following deletion of your genetic information or destruction of your DNA sample, NONPAREY may no longer be able to provide certain Services, generate future reports, or provide updates that depend on the deleted information or destroyed sample.

NONPAREY may use third-party laboratories, technology providers, payment processors, logistics providers, contractors, affiliates, and other Service Providers in connection with the Services.

Where a third party provides a separate product or service to you, your dealings with that third party may be subject to the third party's own terms, conditions, and privacy policies.

NONPAREY is not responsible for the acts or omissions of independent third parties except to the extent required by applicable law.

You acknowledge that the availability and functionality of certain Services may depend on third-party Service Providers. NONPAREY may replace or discontinue a Service Provider where reasonably necessary without being required to obtain your prior consent.

You expressly acknowledge and agree that your use of the Services is voluntary and at your own risk. To the fullest extent permitted by applicable law, the Services are provided on an "AS IS" and "AS AVAILABLE" basis.

To the fullest extent permitted by applicable law, NONPAREY makes no warranty or representation that:

• The Services will meet all of your requirements or expectations;
• The Services will be uninterrupted, secure, timely, or error-free;
• Results obtained through the Services will be complete, accurate, or reliable for every purpose;
• Any recommendation or information provided through the Services will be suitable or effective for you;
• Any particular result will be obtained from your use of the Services; or
• The Services will remain available in their current form for any particular period.

You acknowledge that the Services involve scientific, technological, laboratory, and biological processes that are subject to inherent limitations and that results may be affected by the quality of the biological sample, information provided by you, testing methodologies, available scientific knowledge, laboratory processes, and other factors.

Nothing in these Terms excludes or limits any warranty, representation, liability, or right that cannot lawfully be excluded or limited under applicable law.

To the fullest extent permitted by applicable law, NONPAREY will not be liable for any indirect, incidental, special, exemplary, or consequential loss or damage, or for loss of profits, revenue, business, opportunity, goodwill, or data, arising out of or in connection with your use of, or inability to use, the Services.

To the fullest extent permitted by applicable law, NONPAREY will not be responsible for loss or damage arising from:

• Your reliance on information provided through the Services for medical, health, dietary, medication, or treatment decisions;
• Your failure to provide accurate, complete, or current information;
• Your disclosure of your genetic information, reports, or other information to third parties;
• Unauthorized access to your account resulting from your failure to maintain the confidentiality of your account credentials;
• The quality, suitability, or authenticity of a biological sample provided by you;
• Changes in scientific knowledge, testing methodologies, technology, or laboratory processes;
• The acts or omissions of independent third-party Service Providers, except to the extent required by applicable law; or
• Any suspension, modification, or discontinuation of the Services carried out in accordance with these Terms.

To the fullest extent permitted by applicable law, NONPAREY's aggregate liability arising out of or in connection with the Services will not exceed the amount you paid to NONPAREY for the specific Services giving rise to the claim.

Nothing in these Terms excludes or limits NONPAREY's liability to the extent that such exclusion or limitation is prohibited by applicable law.

These Terms, together with any applicable additional terms, consents, policies, and documents expressly incorporated by reference, constitute the entire agreement between you and NONPAREY regarding your use of the Services and supersede any prior agreements, understandings, or representations relating to the same subject matter.

You acknowledge that you have not relied on any representation, promise, or statement not expressly set out in these Terms or in applicable additional terms, consents, or policies.

These Terms are governed by and construed in accordance with the laws of Singapore.

The parties will first attempt in good faith to resolve any dispute arising out of or in connection with these Terms or the Services through good-faith discussions.

If the dispute cannot be resolved through good-faith discussions, either party may pursue any remedy or relief available under applicable law.

Nothing in these Terms prevents either party from seeking urgent or interim relief from a court of competent jurisdiction where such relief is reasonably necessary.

To the extent that a dispute is required or agreed to be resolved by arbitration, the arbitration will be conducted in Singapore in accordance with the applicable Arbitration Rules of the Singapore International Arbitration Centre (SIAC).

NONPAREY's failure to enforce any right or provision of these Terms will not constitute a waiver of that right or provision.

If any provision of these Terms is held to be invalid, illegal, or unenforceable, that provision will be modified to the minimum extent necessary to make it valid and enforceable, and the remaining provisions will remain in full force and effect.

You may not assign, transfer, or otherwise dispose of any rights or obligations under these Terms without NONPAREY's prior written consent.

NONPAREY may assign, transfer, or delegate its rights and obligations under these Terms to an affiliate, successor, purchaser, or other entity in connection with a merger, acquisition, corporate reorganization, sale of assets, or transfer of all or substantially all of the relevant business, subject to applicable law.

These Terms do not create any partnership, joint venture, agency, fiduciary, employment, or other similar relationship between you and NONPAREY.

NONPAREY reserves the right to modify, update, or replace these Terms from time to time to reflect changes to the Services, technology, scientific methodologies, applicable law, regulatory requirements, or our business practices.

Updated Terms will be posted on the NONPAREY website with the updated "Last Updated" date.

Where reasonably appropriate, NONPAREY may provide notice of material changes through the website, email, or other reasonable means.

The updated Terms will become effective on the date specified by NONPAREY or, if no date is specified, when posted on the NONPAREY website.

Your continued use of the Services after the updated Terms become effective constitutes your acceptance of the updated Terms.

If you do not agree to an updated version of these Terms, you may stop using the Services and, where applicable, request closure of your account in accordance with these Terms and our Privacy Policy.
